These Terms and Conditions outline the rules and regulations for the use of Agile with Edele's Website, including all content and courses available on the site.

Please read these terms carefully before you submit your order to us. These terms tell you who we are, how we will provide our Service to you, how you and we may change or end the contract, what to do if there is a problem and other important information. All rights not expressly granted in these terms are hereby reserved.

You agree to review this agreement periodically to ensure that you are aware of any amendments to this agreement, which may be made at any time.

License

By signing up, we hereby grant you a licence to use our freely available courses and lessons. This licence is limited, revocable, non-exclusive, non-sublicensable and non-transferable, and is subject to the rights and obligations granted under these Terms.

In consideration of your payment, we hereby grant you an additional licence to use all of our available courses (“the Service”). This licence is limited, revocable, non-exclusive, non-sublicensable and non-transferable, and is subject to the rights and obligations granted under these Terms.

Both licence types are personal to you and cannot be shared or exchanged with others.

Intellectual Property Rights

Unless otherwise stated, Agile with Edele and/or it’s licensors own the intellectual property rights for all material on Agile with Edele. All intellectual property rights are reserved. You may view and/or print pages from www.agilewithedele.com for your own personal use subject to restrictions set in these Terms and Conditions.

You must not:

  • Republish material from www.agilewithedele.com
  • Sell, rent or sub-license material from www.agilewithedele.com
  • Reproduce, duplicate or copy material from www.agilewithedele.com
  • Remove any copyright or other proprietary notations from the materials
  • Redistribute content from Agile with Edele (unless content is specifically made for redistribution)
  • Attempt to decompile or reverse engineer any software contained on Agile with Edele's Website.

This license shall automatically terminate if you violate any of these restrictions and may be terminated by Agile with Edele at any time. Upon terminating your viewing of these materials or upon the termination of this license, you must destroy any downloaded materials in your possession whether in electronic or printed format.

General

We develop, distribute and maintain the Service which you can access with your registered log in details. We will also manage your access to the Service, and provide support to you, where necessary.

You shall not copy, modify, transmit, distribute or in any way exploit the Service or any other copyrighted materials provided other than for your individual training. Any other purpose is expressly prohibited under these terms. You shall also not permit anyone else to copy, use, modify, transmit, distribute or in any way exploit the Service or any other copyrighted materials.

We provide the materials ‘as is’ and without any warranties, whether express or implied, except those that cannot be excluded under statute. We also do not warrant that the materials will be error free, including technical inaccuracies.

Access to Materials

The starting date of your access to the Service is deemed to be the date that you first have access through signing up.

The starting date of your Subscription to the Service is deemed to be the date that you first submit payment through our checkout form.

Subscriptions

Your account will be billed automatically at the end of every billing period (either monthly or yearly depending on your subscription preference) until you cancel your subscription. You are responsible for cancelling your subscription when you no longer wish to continue with your subscription. You may not receive further notice of your recurring billing after signing up for a subscription, and you must visit your Subscription page in your Account area to find out when your subscription is set to renew. Subscriptions recur either monthly or yearly, depending on which choice you made during the initial checkout.

Unless you cancel your subscription before your the next billing date, you authorise us to charge your next subscription fee (either Monthly or Yearly depending on your plan) to your Payment Method. See "Cancellation Policy" below.

You are responsible for ensuring that the Payment Method associated with your account or subscription is up to date, that information posted in connection with it is accurate, and that you are authorized to use that Payment Method.

We will take all commercially reasonable steps to provide you with uninterrupted access to the Service. However, your access may be restricted from time to time for reasons beyond our control. Such reasons include power outages, actions from computer hackers and others acting outside the law, and force majeure events. Your access may also be interrupted due to software issues, server downtime, and increased Internet traffic, programming errors, regular maintenance and other related reasons. Where this is the case, we will take commercially reasonable steps to restore your full access within a reasonable period of time. ‘Commercially reasonable’ in these terms shall mean reasonable efforts taken in good faith, without an unduly burdensome use or expenditure of time, resources, personnel or money.

Our aim is to provide courses and materials of the highest quality. As such, improvements or changes to the Service or any other materials may occur at any time without prior notification in order to ensure that they are up to date and accurate.

Where your access to the Service is restricted for any of the above reasons, we may provide you with a free extension of time at our sole discretion.

Pricing and Payment

The presentation of the products in the online shop does not constitute a legally binding offer, but an invitation to place an order.

By clicking the "Buy now" button you give a binding declaration of intent to order the goods listed on the order page. The purchase contract is concluded by confirming your order immediately after its completion by a confirmation email to the e-mail address provided by you. This confirmation email contains all data of the order including the present general Terms and Conditions.

We use a third party payment processor, Stripe, for all payments. Agile with Edele does not store payment card details and instead relies on Stripe for this. Payment for the Service must be made at the point of purchase.

Stripe may place a temporary authorisation charge of $1 onto your account. This check is to verify the card is valid prior to your first payment with us. It may take 7-10 business days for the pending authorization to disappear from your bank statement.

You agree to provide payment for the Service in the stipulated currency and you will be liable to pay any relevant conversion charges, as well as applicable taxes. Please note that we must receive your payment in full before providing you with access to the Service.

At time of checkout, you may be asked to provide additional information to authenticate your online payment under the Strong Customer Authentication (SCA) requirements in the European Economic Area (EEA). This additional information may include a one-time code sent to your phone or fingerprint authentication through your mobile banking app. Depending on the bank who issued your card, you may also be asked to re-authenticate for recurring purchases - we will send you a notification via email where we have been unable to continue your subscription due to failed payment as a result of this SCA regulation.

Your payment includes the licensing of the Service for a limited period of time based on which subscription you choose. By default, subscriptions are made on a recurring monthly basis, you can manage your subscription via your account area. We are unable to provide a refund for our Service, except at our absolute and sole discretion.

We reserve our right to review and change the pricing of our Service. This will not affect services that have already been purchased.

Payment Methods

To use the entire Agile with Edele Service, you must provide a Payment Method. We accept American Express, Mastercard and Visa credit and debit cards. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not cancel your account, we may suspend your access to the subscription Service until we have successfully charged a valid Payment Method. If this happens, you will still be able to access your account and any free material we have made available but you will not have access to our entire course catalogue. For some Payment Methods, the issuer may charge you certain fees, such as foreign transaction fees or other fees relating to the processing of your Payment Method. Local tax charges may vary depending on the Payment Method used. Check with your Payment Method service provider for details.

Cancellation policy

You may cancel at any time. Cancellation does not entitle you to a refund under any circumstances. You will continue to have access to the Website and Services you have paid for until the end of your subscription term, but will lose access if the subscription is not in good standing.

Unless you cancel your subscription before your the next billing date, you authorise us to charge your next subscription fee (either Monthly or Yearly depending on your plan) to your Payment Method.

No Refunds on Monthly or Yearly Subscriptions. Agile with Edele is not obligated to provide you a refund at any time. If you choose to cancel your subscription during your subscription term, you will not be refunded, in whole or in part.

Where our Service is delivered to you immediately, you will not have the right to change your mind. You expressly agree to waive your legal right of withdrawal § 356 (4) BGB to access our paid-for Service.

It is your responsibility to ensure that you meet the system requirements, including compatible hardware, software, telecommunications equipment and Internet service, prior to purchasing any content. We are unable to provide refunds where your access to the Service is inhibited due to insufficient system requirements.

We may restrict your access to the Service if you breach these terms, including without limitation:

  1. A failure to make any payment due to us; or
  2. Failure to provide accurate information that is necessary for us to provide the Service to you.

In these circumstances, we will inform you by an automated e-mail that your access to the Service has been restricted.

Complaints Office:

Online Dispute Resolution (ODR) and VBSG (ADR).

The European Commission provides an online dispute resolution (OS) platform at http://ec.europa.eu/consumers/odr/. We are not obliged and unwilling to participate in a dispute settlement procedure before a consumer arbitration board (ADR).

Governing Law

These terms are governed by and construed in accordance exclusively with the laws of Germany without regard to any choice of law principles.
